1. Introduction

Signdeer is a global document workflow platform operated by Signdeer Inc., a Delaware corporation (“Signdeer”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our services, including our website (signdeer.com),mobile apps, and cloud-based tools (collectively, the “Service”).

By accessing or using the Service, you confirm that you have read, understood, and agreed to be legally bound by these Terms, along with our Privacy Policy. If you do not accept these Terms, you may not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Service. If you are using Signdeer on behalf of an organization, you represent that you have the right to bind that entity to these Terms.

3. Account Registration

To access core features, you must create an account. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for all activity under your account. We may suspend or terminate your account if we detect unauthorized use or misleading information.

4. Subscription and Billing

Signdeer is offers both free trials and paid plans. Our subscription fees are billed monthly or annually in advance. By subscribing to a paid plan, you authorize us to charge your chosen payment method on a recurring basis. Subscriptions renew automatically unless canceled before the next billing cycle.

We process payments via trusted third-party providers, including Paddle, Apple, and Google. You agree to their terms in addition to ours when using those channels.

5. Free Trials

Signdeer may offer a limited-time free trial. You may need to provide billing information, but charges will not apply until the trial ends. If you do not cancel before expiration, your subscription will convert to a paid plan automatically.

6. Refund Policy

All subscription fees are non-refundable except where required by law. If you believe your situation qualifies for a refund, contact [email protected] within 14 days of payment. Refunds are not guaranteed and are evaluated case-by-case.

7. Acceptable Use Policy

You agree not to misuse the Service, including but not limited to:

• Uploading unlawful or unauthorized content
• Disrupting platform operations or infrastructure
• Attempting to breach data or account security
• Reverse-engineering or scraping our platform
• Sending spam, phishing attempts, or harmful software

Violations may result in immediate suspension or termination of access.

8. AI and Data Processing

Signdeer processes your uploaded content—including PDFs and other files—using third-party artificial intelligence models such as OpenAI, Anthropic Claude, and Google Gemini. These models are used to enhance document classification, analysis, and automation.

You confirm that you have the legal right to share this content and that you have obtained consent from any third parties involved, if required by law. Processing is governed by our Privacy Policy and relevant international data protection laws.

9. Data Storage and Security

Your data is securely stored on infrastructure hosted by Amazon Web Services (AWS) in Frankfurt, Germany. We use industry best practices to ensure encryption, redundancy, and uptime. However, no system is 100% secure, and you acknowledge that use of the internet always carries risk.

10. Intellectual Property

All intellectual property related to Signdeer—including software, design, branding, and content—is the sole property of Signdeer Inc. or its licensors. Nothing in these Terms grants you rights to use our marks, trade dress, or proprietary features without express written permission.

11. Termination

You may cancel your account at any time through your dashboard. We may suspend or terminate your access at our discretion for any reason, including suspected violations of these Terms or applicable laws. Upon termination, your access and license to use the Service will immediately cease.

12. Limitation of Liability

To the fullest extent permitted by law, Signdeer is not liable for any indirect, incidental, punitive, or consequential damages, including loss of data, profits, or business opportunities. Our total liability under these Terms is limited to the amount you paid for the Service in the past 12 months.

13. Indemnification

You agree to indemnify and hold Signdeer harmless from any claims, damages, losses, or legal fees arising out of your use of the Service, your content, or your violation of these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the state or federal courts located in Delaware.

15. International Terms

Signdeer is a global platform, but our corporate headquarters and primary legal framework are based in the United States. By using our Services from outside the United States, you agree to comply with local laws and consent to the transfer of your data in accordance with our Privacy Policy.

You represent and warrant that you are not:

• Located in a country subject to a U.S. Government embargo, or designated by the U.S. Government as a “terrorist-supporting” country; or
• Listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department’s Specially Designated Nationals list.

If you are accessing or using Signdeer from a country or jurisdiction where local laws restrict such use, you do so at your own risk. You are solely responsible for complying with applicable laws and regulations, including data privacy, consumer protection, and content restrictions.

By using Signdeer, you consent to the transfer, processing, and storage of your personal data and documents to and within the United States and the European Union (Frankfurt, Germany),as necessary for delivering our Services.

16. Modifications to Terms

We may update these Terms to reflect changes in our service, legal requirements, or best practices. If material changes are made, we will notify you via email or in-app notification. Continued use of the Service indicates acceptance of the updated Terms.

17. Entire Agreement

These Terms constitute the entire agreement between you and Signdeer regarding use of the Service and supersede any prior agreements or understandings. If any part of these Terms is held invalid, the remainder will remain in full force and effect.
